1. Introduction and Acceptance
These Terms of Service ("Terms") govern your use of the website magistra.health (the "Platform") operated by Magistra Health B.V. ("Magistra", "we", "us", or "our"), a company registered in the Netherlands.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or email. Continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
2. Nature of the Service
Magistra is a technology platform that connects patients with independent authorised pharmacies and independent licensed prescribers for personalised weight management programmes.
Important disclaimers:
a) Magistra is NOT a healthcare provider. We do not provide medical advice, diagnoses, prescriptions, or treatments. We are a technology intermediary only.
b) All clinical assessments, prescribing decisions, and medical advice are provided by independent prescribers who are separately licensed and regulated healthcare professionals. Magistra does not employ, direct, or control these prescribers.
c) All dispensing of medication is performed by independent licensed pharmacies. These pharmacies operate under their own licences, are regulated by the relevant authorities in their jurisdiction, and bear full responsibility for the quality and safety of the medications they dispense.
d) Magistra facilitates the connection between patients, prescribers, and pharmacies through its technology platform. We do not guarantee any specific health outcome.
3. Eligibility
To use our Platform, you must:
a) Be at least 18 years of age.
b) Be a resident of a country where Magistra actively operates.
c) Have the legal capacity to enter into a binding agreement.
d) Provide accurate and complete information in all forms and questionnaires.
By using the Platform, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to refuse service or terminate accounts if these requirements are not met.
4. Account Registration and Obligations
When creating an account on the Platform, you agree to:
a) Provide truthful, accurate, and complete information, including in the health questionnaire.
b) Keep your account credentials confidential and not share them with any third party.
c) Notify us immediately at support@magistra.health if you suspect any unauthorised use of your account.
d) Be responsible for all activities that occur under your account.
Providing false or misleading information, particularly in the health questionnaire, may result in inappropriate clinical recommendations and poses a risk to your health. You are solely responsible for the accuracy of the information you provide.
5. The Personalised Programme
a) Health Questionnaire
You will be asked to complete a health questionnaire. Your responses are shared with an independent prescriber for clinical assessment. Magistra does not evaluate or make decisions based on your health data — we transmit it securely to the appropriate healthcare professional.
b) Prescriber Assessment
An independent prescriber will review your questionnaire. The prescriber may approve, modify, or decline to prescribe a treatment. This is a clinical decision made independently of Magistra. Not all patients will be deemed suitable for treatment.
c) Dispensing and Delivery
If a prescription is issued, it is sent to an independent authorised pharmacy matched through our Platform. The pharmacy dispenses your prescribed medication and arranges delivery. Delivery timelines are estimates and may vary.
d) Ongoing Monitoring
Your programme may include follow-up questionnaires or check-ins facilitated through the Platform. Clinical decisions at every stage rest with the independent prescriber.
6. Fees and Payment
a) Platform Fee
Magistra charges a platform fee for the use of its technology services. This fee is separate from the cost of medication and pharmacy services.
b) Medication and Pharmacy Costs
The cost of prescribed medication is set by the independent pharmacy and is payable separately. Prices will be clearly displayed before you confirm any order.
c) Payment Terms
All fees are payable in advance at the time of order. We accept the payment methods displayed on the Platform.
d) Refunds
- Platform fees are non-refundable once a prescriber assessment has been initiated.
- If a prescriber declines to prescribe treatment, any medication fees collected will be refunded in full.
- Refunds for medication-related issues are subject to the pharmacy's own refund policy, as pharmacies are independent entities.
e) Price Changes
We reserve the right to change our platform fees. Any changes will be communicated in advance and will not affect orders already placed.
7. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, is the property of Magistra Health B.V. or its licensors and is protected by Dutch and international copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, distribute, or reproduce any part of the Platform without our prior written consent.
- Use our trademarks, logos, or branding without authorisation.
- Reverse-engineer, decompile, or disassemble any software used in the Platform.
8. Limitation of Liability
To the maximum extent permitted by Dutch law:
a) Magistra provides the Platform "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
b) Magistra is not liable for:
- Any clinical decisions made by independent prescribers.
- The quality, safety, or efficacy of medications dispensed by independent pharmacies.
- Any adverse health outcomes resulting from treatment prescribed by independent prescribers or dispensed by independent pharmacies.
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of data, revenue, or profits.
- Service interruptions, delays, or errors in the Platform.
c) Magistra's total aggregate liability to you for any and all claims arising from or related to the use of the Platform shall not exceed the total platform fees paid by you in the 12 months preceding the claim.
d) Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Dutch law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Magistra Health B.V., its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
a) Your use of the Platform.
b) Your breach of these Terms.
c) Your provision of inaccurate or misleading information.
d) Your violation of any applicable law or regulation.
10. Independent Pharmacies and Prescribers
a) The pharmacies and prescribers accessible through the Platform are independent entities. They are not employees, agents, or representatives of Magistra.
b) Each pharmacy holds its own licence and is responsible for regulatory compliance, quality control, and adherence to pharmaceutical standards.
c) Each prescriber is independently licensed and regulated. Their clinical decisions are made autonomously.
d) Magistra performs due diligence in selecting pharmacy and prescriber partners but does not guarantee the performance of any independent party.
e) Any complaints regarding clinical care or medication should be directed to the relevant prescriber or pharmacy. Magistra will assist in facilitating communication where appropriate.
11. Prohibited Uses
You agree not to use the Platform to:
a) Provide false or misleading information in any form or questionnaire.
b) Obtain medication for any person other than yourself.
c) Attempt to circumvent any security features of the Platform.
d) Engage in any activity that interferes with or disrupts the Platform.
e) Use the Platform for any unlawful purpose.
f) Resell or redistribute any medication obtained through the Platform.
g) Use automated systems (bots, scrapers) to access the Platform.
12. Termination
a) You may terminate your account at any time by contacting us at support@magistra.health.
b) We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to:
- Breach of these Terms.
- Provision of false information.
- Suspected fraudulent activity.
- At the request of law enforcement or regulatory authorities.
c) Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) shall survive.
d) Data retention after termination is governed by our Privacy Policy.
13. Force Majeure
Magistra shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, or technical failures of third-party infrastructure.
14. Governing Law and Disputes
a) These Terms are governed by and construed in accordance with the laws of the Netherlands.
b) Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
c) Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at support@magistra.health. We will endeavour to resolve complaints within 30 days.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Magistra regarding the use of the Platform, and supersede any prior agreements or understandings.
